1. Agreement to Terms

By accessing and using the services provided by CYBERTECH Eesti OÜ ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

CYBERTECH Eesti OÜ provides computer facilities management services, including but not limited to:

• Computer systems management and monitoring
• Network design and development
• Technical support and help desk services
• Security management and cybersecurity solutions
• Data processing and storage services
• Systems integration and consulting

3. Service Agreements

3.1 Individual Service Contracts

Specific services will be governed by individual service agreements that detail the scope of work, timelines, deliverables, and payment terms. These Terms supplement but do not replace individual service contracts.

3.2 Service Level Agreements

We may provide Service Level Agreements (SLAs) that specify performance standards, response times, and availability commitments for certain services.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team and provide timely feedback
• Maintain the confidentiality of login credentials and access information
• Comply with all applicable laws and regulations
• Pay all fees and charges in accordance with the agreed payment terms

5. Payment Terms

5.1 Fees and Payment

Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date.

5.2 Late Payment

Late payments may incur interest charges and may result in suspension of services until payment is received.

6. Intellectual Property

6.1 Company IP

All intellectual property rights in our services, methodologies, and proprietary systems remain with CYBERTECH Eesti OÜ.

6.2 Client IP

We respect your intellectual property rights and will not use your confidential information except as necessary to provide services.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of our business relationship.

8. Data Protection and Privacy

We are committed to protecting your personal information in accordance with applicable data protection laws. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

9. Limitation of Liability

To the fullest extent permitted by law, CYBERTECH Eesti OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to these Terms or our services.

10. Indemnification

You agree to indemnify and hold harmless CYBERTECH Eesti OÜ from any claims, damages, losses, or expenses arising from your use of our services or breach of these Terms.

11. Service Availability

While we strive to provide continuous service availability, we cannot guarantee uninterrupted service. We may perform maintenance, updates, or modifications that may temporarily affect service availability.

12. Termination

12.1 Termination by Client

You may terminate services in accordance with the terms specified in your individual service agreement.

12.2 Termination by Company

We may terminate services if you breach these Terms or fail to pay fees when due, with appropriate notice as specified in your service agreement.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes, and continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

17. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and CYBERTECH Eesti OÜ regarding your use of our services.
